1. Services
Codeeo Business Setup (“Codeeo”, “we”) provides company formation, licensing, residence visa and related advisory services in the United Arab Emirates. By submitting an application or making a payment, you (“the Client”) agree to these Terms & Conditions.
2. Government approvals
All company formations, trade licences, visas and related approvals are subject to the discretion and requirements of the relevant UAE government authorities and free zone bodies. Codeeo facilitates and manages your application but does not control, and cannot guarantee, the outcome of any government decision.
3. Processing timelines
Estimated timelines are provided in good faith and are indicative only. Actual processing times may vary depending on the relevant authority, the completeness of documents, security or activity approvals, and factors outside our control. Delays by government authorities do not constitute a breach by Codeeo.
4. Additional approvals
Certain business activities require additional external approvals from ministries, regulators or third parties. Where these apply, they may involve extra fees, documentation and processing time, which will be communicated to you before proceeding.
5. Establishment card & pass-through fees
The establishment card fee shown with each package is a fixed pass-through amount and is non-refundable once processed. Where a business activity requires an additional authority or third-party fee, this will be disclosed to you separately before it is charged; Codeeo does not include undisclosed government fees within its published package pricing.
6. Client responsibilities
The Client is solely responsible for providing accurate, complete and truthful information and valid, unexpired documents. Codeeo is not liable for delays, rejections or penalties arising from inaccurate information, invalid documents, or the Client’s failure to meet authority requirements.
7. Payments & invoicing
Payments may be made by credit/debit card or bank transfer. Professional service fees are subject to 5% VAT where applicable. An invoice and payment confirmation are issued automatically on successful payment. Services commence once cleared payment is received.
8. Refunds & cancellation
Professional service fees are refundable only for work not yet commenced, less any administrative charges. Government and authority fees, and any third-party costs already incurred or paid, are non-refundable. Cancellation requests must be submitted in writing. Specific refund terms may be set out in your service agreement.
9. Limitation of liability
To the maximum extent permitted by law, Codeeo’s total liability arising from the services is limited to the professional service fees paid by the Client for the specific service in question. Codeeo is not liable for indirect, consequential or incidental losses.
10. Data protection
We handle your personal data and documents in accordance with our Privacy Policy and applicable UAE data protection law. Documents are stored securely and used only to deliver the services you request.
11. Governing law
These Terms are governed by the laws of the United Arab Emirates. Any disputes are subject to the exclusive jurisdiction of the competent UAE courts.
